Terms & Conditions

These terms govern your use of Monoliths, a business workspace operated by MONOLITHS ONLINE (ABN 42 677 027 584), a company registered in Australia. In these terms, "we", "us" and "our" mean MONOLITHS ONLINE, and "you" means the person or organisation using the service.

1. Acceptance of these terms

By creating an account, subscribing to a plan, or continuing to use Monoliths, you agree to be bound by these terms. If you are using Monoliths on behalf of a business, you confirm that you have authority to bind that business. If you are using it as an individual, you confirm that you are of legal age to enter into a contract in your jurisdiction. If you do not agree to these terms, do not use the service.

2. The service

Monoliths is a hosted workspace for independent operators and small practices. It provides calendar and event tracking, task and project management, quote drafting, notes, file attachments, email reminder digests, and a desktop and mobile client that synchronise with the same account. Features available to you depend on the plan you select.

We grant you a limited, non-exclusive, non-transferable right to use Monoliths for your own business purposes within the limits of your selected plan, for as long as your account remains in good standing.

3. Your account

You must provide accurate registration information and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Tell us promptly at support@monoliths.online if you believe your account has been accessed without your authorisation.

4. Acceptable use

You must not misuse Monoliths. In particular, you must not:

  • use the service for any unlawful purpose, or in breach of any applicable law or regulation;
  • use the service to send spam, conduct fraud, or issue misleading invoices or quotes;
  • upload, store or transmit content that infringes the intellectual property or privacy rights of any other person;
  • introduce malware, probe, scan or test the vulnerability of the service, or attempt to circumvent authentication, rate limits or plan restrictions;
  • scrape, crawl or bulk-extract data from the service by automated means other than through interfaces we provide;
  • reverse engineer, decompile or attempt to derive the source code of the service, except to the extent that restriction is prohibited by law; or
  • resell, sublicense or redistribute the service to third parties without our written agreement.

5. Your content

You retain ownership of the projects, tasks, notes, quotes, files and other content you put into Monoliths. You grant us a limited licence to host, store, process, transmit and display that content solely for the purpose of operating and supporting the service for you. You are responsible for having the rights necessary to upload the content you store, and for ensuring your use of client data complies with your own legal obligations.

6. Our intellectual property

Monoliths — including its software, design, documentation, branding and name — remains our property and that of our licensors. Nothing in these terms transfers any intellectual property in the service to you. Feedback you send us may be used to improve the service without obligation to you.

7. Payments, subscriptions and taxes

Paid plans are billed in advance on a monthly or annual cycle and renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the period you have already paid for, and you keep access until then.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, currency, invoicing, cancellation and refund mechanics are governed by Paddle's Checkout Buyer Terms. Prices are shown at checkout and may be adjusted for local taxes. We may change plan pricing with at least 30 days' notice before it applies to your next renewal.

8. Service availability

We work to keep Monoliths available and reliable, but we do not guarantee that the service will be uninterrupted, timely, secure or error-free. Maintenance, third-party outages and factors outside our control may affect availability. We may modify or discontinue features from time to time; where a change materially reduces functionality you rely on, we will make reasonable efforts to notify you in advance.

9. Suspension and termination

We may suspend or terminate your access to Monoliths where:

  • you materially breach these terms and do not remedy the breach within a reasonable time after notice;
  • payment for your plan fails or remains outstanding;
  • your use presents a security, fraud or legal risk to us, our other customers or third parties; or
  • you repeatedly or seriously violate the acceptable use rules above.

You may close your account at any time from your workspace settings. On termination, your right to use the service ends. We will keep your data available for export for 30 days after termination, after which it may be deleted from active systems in line with our Privacy Notice.

10. Warranties and liability

To the fullest extent permitted by law, and other than as expressly stated in these terms, the service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.

Subject to that, we are not liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, data, business opportunity or goodwill; and our total aggregate liability arising out of or in connection with the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We do not exclude liability for fraud, death or personal injury caused by our negligence.

11. Indemnity

You indemnify us against claims, losses and reasonable costs arising from content you store in the service, your unlawful use of the service, or your breach of these terms.

12. General

These terms are governed by the laws of South Australia, Australia, and the courts of that jurisdiction have non-exclusive jurisdiction over disputes. You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or sale of assets. Neither party is liable for failure to perform caused by events beyond its reasonable control. If any provision is found unenforceable, the remainder continues in force.

We may update these terms; material changes will be notified by email or in-app before they take effect, and continued use after that date constitutes acceptance.
